General Terms & Conditions

Effective Date: April 2, 2026

These General Terms & Conditions (“Terms”) govern the services provided by Flux Production (“we,” “us,” or “our”), a corporation based in Carmacks - Yukon Territory, Canada.

By engaging our services, you (“Client”) agree to the following Terms.

1. Scope of Services

Flux Production provides audiovisual services including, but not limited to:

- Film production (short films, promotional videos, music videos)
- Photography
- Creative direction and art direction
- Editing, color grading, sound design, and post-production
- Visual effects and compositing

The scope, deliverables, timeline, and pricing will be defined in a separate written agreement, quote, or proposal.

2. Project Agreement

Each project requires written confirmation (email or signed agreement). Work will begin once the project is approved and any required deposit has been received.

3. Fees and Payment
A non-refundable deposit (typically 30–50%) may be required before work begins
Remaining balance is due upon completion or as outlined in the agreement
Late payments may be subject to additional fees or interest
All prices are in CAD

Flux Production reserves the right to pause or withhold delivery of final files until full payment is received.

4. Revisions

Projects include a limited number of revisions, as specified in the project agreement.

Additional revisions beyond the agreed scope may be billed at an hourly or fixed rate.

5. Client Responsibilities

The Client agrees to:

- Provide clear instructions, materials, and feedback in a timely manner
- Ensure they have the rights to any materials provided (music, images, text, etc.)
- Obtain any necessary permissions, releases, or permits

- Delays caused by the Client may impact delivery timelines.

6. Creative Control

Flux Production retains creative control over the project within the agreed direction.

While we aim to align with the Client’s vision, final artistic decisions remain at our discretion unless otherwise specified.

7. Intellectual Property
Ownership

Unless otherwise agreed in writing:

Final deliverables are licensed to the Client for agreed usage
Flux Production retains ownership of all raw footage, drafts, and project files
Usage Rights

The Client may use the final content for the purposes defined in the agreement.

Extended usage (e.g., paid advertising, broadcast, resale) may require additional licensing.

8. Portfolio and Promotion

Flux Production reserves the right to use any completed project for:

- Portfolio
- Website and social media
- Promotional and marketing purposes

- Unless otherwise agreed in writing.

9. Cancellation and Rescheduling
Deposits are non-refundable
If a project is cancelled, the Client is responsible for work completed up to that point
Rescheduling may be subject to availability and additional costs


10. Liability

Flux Production will take all reasonable care in delivering services.

However, we are not liable for:

- Indirect or consequential damages
- Loss of data, profits, or business opportunities

- Our total liability is limited to the amount paid for the project.

11. Force Majeure

We are not responsible for delays or failure to perform due to events beyond our control, including but not limited to:

- Weather conditions
- Equipment failure
- Illness
- Natural disasters


12. Governing Law

These Terms are governed by the laws of Yukon, Canada and applicable Canadian laws.

13. Amendments

We reserve the right to update these Terms at any time. Updated versions will be made available upon request or on our website.
